TERMS OF SERVICE

These Terms are the operative agreement between you and Alva Systems Architecture LLC, provider of the VibeVault product (“VibeVault,” “we,” “us,” or “our”). Questions? Email [email protected].
1. ACCEPTANCE OF TERMS
By creating an account, joining an event as a guest, or otherwise accessing VibeVault you agree to these Terms and our Privacy Policy. If you do not agree, do not use the service. We may update these Terms; when we do we will update the “Last updated” date above and, for material changes, notify registered users by email. Continued use after a change takes effect constitutes acceptance.
2. WHAT VIBEVAULT IS
VibeVault is a multi-tenant song-request platform. Guests at a live event scan a QR code, search for songs, and submit requests to the DJ’s queue. DJs review, approve, or decline requests in real time through a control panel linked to their Spotify Premium account. Guests may optionally spend credits to boost the priority of their request.
VibeVault is provided by Alva Systems Architecture LLC, a Texas limited liability company. “VibeVault” is a product name used by that LLC.
3. ELIGIBILITY & AGE REQUIREMENT (COPPA)
You must be at least 13 years old to create a VibeVault account. Every signup path requires an affirmative age confirmation. If you indicate you are under 13, no account is created and you may only use the service in a limited anonymous capacity (viewing an event page without submitting requests).
Children under 13 — parental context:VibeVault is not directed at children under 13 and does not knowingly collect personal information from them. Our launch customers include community events such as school swim meets where children may be physically present. A child may participate by having a parent or guardian submit song requests on their behalf using the parent’s account. If you believe a child under 13 has independently created an account, contact [email protected] immediately. We will investigate and delete the account.
Registered DJs and organization operators must be at least 18 years old and legally capable of entering a binding contract.
4. ACCOUNT RESPONSIBILITIES
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Use a strong, unique password. We support TOTP two-factor authentication and strongly encourage DJ and organization accounts to enable it.
You agree to provide accurate information when registering and to keep it current. You may not share your account, impersonate another person, or create accounts for any purpose other than legitimate use of the platform.
5. ACCEPTABLE USE
You agree not to:
- Submit or approve song requests for content that is illegal in your jurisdiction, violates venue rules, or would constitute harassment.
- Attempt to circumvent the explicit-content filter, keyword blocks, or other DJ controls.
- Abuse or exploit credits (e.g., chargeback fraud, using bots to submit requests en masse).
- Scrape, reverse-engineer, or interfere with the operation of the platform.
- Violate Spotify’s Developer Terms of Service or Platform Rules in any way while using VibeVault.
- Use VibeVault to collect, harvest, or process others’ personal data outside the normal operation of the service.
VibeVault provides the queue and the controls; DJs operate them. The platform does not guarantee that content filters catch every edge case. DJs remain responsible for the events they run.
6. SPOTIFY INTEGRATION & ATTRIBUTION
VibeVault connects to your authorized Spotify Premium account to read what’s currently playing, search the Spotify catalog, add songs to your queue, and control playback. By connecting Spotify you grant VibeVault the OAuth scopes necessary for those functions only.
VibeVault is not affiliated with, endorsed by, or sponsored by Spotify AB. “Spotify” is a registered trademark of Spotify AB. All track metadata, album art, and search results displayed within VibeVault are provided by the Spotify API and remain subject to Spotify’s own terms. The “Powered by Spotify” attribution shown throughout the platform is required by Spotify’s Developer Policy; do not remove or obscure it.
We do not store your Spotify streaming history, listening habits, or personal Spotify profile information beyond your display name and Premium status at time of connection. Spotify credentials (refresh tokens) are stored in encrypted form and never exposed to guests or other users.
Audio streams flow directly between Spotify’s content delivery network and your playback device; VibeVault never processes or stores audio data.
7. PAYMENTS, CREDITS & BILLING
Current status — payments coming soon: Credit purchases and paid subscription plans are not yet active. The following describes the intended model and will become operative when payment features launch.
Subscription plans: VibeVault offers a free tier and paid monthly subscription tiers (Starter, Pro, Elite, Enterprise). Paid plans renew automatically each month via Stripe. Annual prepay locks the price for 12 months at a discount. You may cancel at any time from your account settings; your plan stays active through the end of the paid period.
Credits: Credits are the in-platform currency used by guests to boost song requests. Credits are purchased separately from subscriptions. A platform fee applies to each boost transaction. The remainder is allocated to the DJ for that event. Credits never expire. Credits have no cash value and are non-transferable.
No refunds: All credit purchases and plan payments are non-refundable. We do not issue refunds except where required by applicable law or in the case of a verifiable service outage caused by VibeVault. We may offer goodwill credits at our sole discretion. Make sure you want the credits or plan before purchasing.
Team revenue sharing (optional org setting):Event organizers may enable a revenue-sharing feature where a portion of boost credit revenue “supports” a designated recipient (e.g., a swim team). This is a pass-through revenue mechanism, not a donation and not tax-deductible for guests. Actual payout timing and method are set by the organizer.
Minimum purchase: The minimum credit purchase amount is $2.00.
8. INTELLECTUAL PROPERTY
VibeVault and its original content, features, and functionality are owned by Alva Systems Architecture LLC and are protected by applicable intellectual property law. You may not copy, modify, or distribute the platform software or design without our written permission.
You retain ownership of any content you provide (display names, event names, message text attached to requests). By submitting content you grant VibeVault a limited, non-exclusive license to store and display it for the purpose of operating the service. We do not use guest request text for advertising, ML training, or analytics beyond aggregate, pseudonymized usage metrics.
Track metadata, album art, and search results come from Spotify and remain Spotify’s intellectual property. We display them under the Spotify API Terms; we do not claim ownership.
9. DISCLAIMERS & LIMITATION OF LIABILITY
VibeVault is provided “as is” and “as available” without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that defects will be corrected.
To the maximum extent permitted by applicable law, Alva Systems Architecture LLC’s total liability for any claim arising under these Terms is limited to the greater of (a) the amount you paid VibeVault in the 12 months preceding the claim or (b) $50 USD. In no event are we liable for indirect, incidental, special, consequential, or punitive damages, even if advised of the possibility.
VibeVault is a tool for DJs. We are not responsible for venue compliance, licensing fees (ASCAP, BMI, SESAC), crowd safety, or any harm arising from how a DJ operates their event.
10. TERMINATION
You may delete your account at any time from your account settings. Deletion is subject to a 30-day grace period during which your account is suspended but data is retained and the deletion can be cancelled. After 30 days, your data is permanently deleted and cannot be recovered. Any remaining credit balance is forfeited at deletion; credits are non-refundable.
We may suspend or terminate accounts that abuse the platform, violate these Terms, violate Spotify’s terms, fail to pay, or that we reasonably believe pose a risk to other users or the service. We will make a reasonable effort to notify you by email before taking action except where immediate suspension is necessary to protect the platform or its users.
11. CHANGES TO THESE TERMS
We may update these Terms at any time. Material changes will be communicated via email to registered users at least 14 days before the change takes effect. The updated “Last updated” date at the top of this page reflects the most recent revision. Continued use of the service after the effective date constitutes acceptance of the revised Terms.
12. GOVERNING LAW & DISPUTES
These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or your use of VibeVault shall be resolved exclusively in the state or federal courts located in Harris County, Texas, and you consent to personal jurisdiction there.
If any provision of these Terms is found unenforceable, the remaining provisions remain in full force. Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
